!Important notices (please read first)
a. QuickCoach is a software platform only. Client Billing is a software tool that lets you set up packages and send payment links from inside QuickCoach. FitFocus is not a bank, payment processor, payment facilitator, money transmitter, escrow agent, or financial services provider. We never receive, hold, or control the money your clients pay you, and we are not a party to any transaction between you and your clients.
b. Payments are processed by Stripe, under Stripe's terms. Every payment is processed by Stripe through a Stripe account that belongs to you. Your use of that account is governed by your own agreement with Stripe, including the Stripe Connected Account Agreement and the Stripe Services Agreement. Stripe, not FitFocus, decides whether to approve, verify, pause, hold, or close your account, and when to pay you out.
c. By opting in, you accept that FitFocus has no liability for payments. To the maximum extent permitted by law, FitFocus accepts no liability for any loss arising from payments made or attempted through Client Billing. That includes failed or declined payments, chargebacks and disputes, refunds, fraud, payout delays, account holds or closures by Stripe, Stripe outages, currency or tax issues, and any disagreement between you and a client. Clause 18 sets this out in full.
d. You are the seller, and your clients are your customers. You set your prices, describe what you are selling, deliver the coaching, decide your refund policy, and handle your taxes. All of that is your responsibility, not ours.
e. Platform fees are not refunded. FitFocus charges a platform fee on each payment (10% on the Free plan or 3.5% on the Pro plan), plus Stripe's own processing fee. If you refund a client, FitFocus keeps its platform fee and Stripe keeps its processing fee.
f. Client Billing is optional. You never have to use it. If you bill your clients another way, FitFocus charges nothing on that money and these Client Billing Terms do not apply to it.
01Definitions
In these Client Billing Terms:
- "Client" means a person you coach and charge, or attempt to charge, through Client Billing.
- "Client Payment" means any payment a Client makes, or attempts to make, through a Payment Link, including each renewal of a Subscription.
- "Package" means a one-off or recurring price you create in Client Billing, which is stored as a price on your Stripe Account.
- "Payment Link" means a link generated in Client Billing that takes a Client to Stripe's hosted checkout to pay for a Package.
- "Platform Fee" means the fee FitFocus charges on each Client Payment, as set out in clause 5.
- "Stripe" means Stripe, Inc. and its affiliates, including the Stripe entity that contracts with you in your country.
- "Stripe Account" means the Stripe account created for you when you connect Client Billing, which you own and manage in your Stripe Dashboard.
- "Stripe Terms" means the agreements between you and Stripe that govern your Stripe Account, including the Stripe Connected Account Agreement and the Stripe Services Agreement, as updated by Stripe from time to time.
- "Subscription" means a recurring Package a Client has started paying for, which renews on its schedule until it is cancelled.
02QuickCoach Is a Platform Only
2.1 Client Billing gives you software to create Packages, generate and send Payment Links, view a record of Client Payments, and start refunds and cancellations. That is the full extent of our role.
2.2 Client Payments are processed by Stripe, settled into your Stripe Account, and paid out by Stripe to your bank account. Funds never pass through a FitFocus bank account, and FitFocus has no ability to move, hold, release, or recover them, other than receiving the Platform Fee that Stripe deducts on our behalf under clause 5.
2.3 FitFocus does not act as your agent for the collection of payments, does not guarantee that any Client will pay you, and does not underwrite, insure, or assume any risk of any Client Payment.
2.4 Any contract for coaching or other services is solely between you and your Client. FitFocus is not a party to it and is not responsible for its performance.
03Opting In and Eligibility
3.1 Client Billing is available on the Free and Pro plans. It is switched off until you switch it on in Account Settings.
3.2 To use Client Billing you must be at least 18 years old, be using QuickCoach for a genuine coaching business, be based in a country Client Billing supports, and complete Stripe's sign-up and verification. The list of supported countries is in the Help Center and may change.
3.3 Connecting Client Billing always creates a new Stripe Account for your coaching. It cannot connect a Stripe account you already have. The country and email address you choose are fixed by Stripe when the account is created, and the country decides the currency you charge in.
3.4 You must give Stripe and FitFocus information that is true, accurate, current, and complete, and keep it up to date.
3.5 We may decline to make Client Billing available to you, or limit it, at our discretion, including where we reasonably believe your use would create legal, regulatory, financial, or reputational risk.
04Your Stripe Account and Stripe's Terms
4.1 By connecting Client Billing, you agree to the Stripe Terms. Your relationship with Stripe is direct and separate from your relationship with FitFocus. You are responsible for reading and complying with the Stripe Terms.
4.2 Stripe is solely responsible for its decisions about your Stripe Account, including identity and business verification, approval, requests for further information, reserves, holds, payout timing, paused payments, and closure. FitFocus cannot override or reverse those decisions, and only Stripe can reopen a closed account.
4.3 You authorise FitFocus to access and act on your Stripe Account through Stripe's platform tools as needed to run Client Billing. That includes creating prices and checkout sessions, reading payment, subscription, refund, and account status information, starting refunds and cancellations you request in QuickCoach, and collecting the Platform Fee.
4.4 You are responsible for keeping your Stripe login and Stripe Dashboard secure, and for all activity in your Stripe Account.
4.5 Questions about your Stripe Account itself (verification, payouts, a closed account, or a dispute) must go to Stripe support, because only Stripe can see and change your account.
05Platform Fees
5.1 There is no monthly charge for Client Billing. FitFocus charges a Platform Fee on each successful Client Payment of:
- 10% of the Client Payment if you are on the Free plan; or
- 3.5% of the Client Payment if you are on the Pro plan.
5.2 Stripe's processing fee is separate, set by Stripe, and charged to your Stripe Account at Stripe's rate for your country and your Client's card. FitFocus does not set Stripe's fee and does not receive any part of it.
5.3 The Platform Fee is deducted from each Client Payment by Stripe at the time of payment and paid to FitFocus. You authorise that deduction.
5.4 The Platform Fee is earned when a Client Payment succeeds and is non-refundable, including where you later refund the Client Payment in full or in part, where a Client disputes the payment, or where a chargeback succeeds.
5.5 A one-off Package charges the Platform Fee that applied when the Package was created. A Subscription moves to the Platform Fee for your current plan from its next Client Payment. This applies in both directions: if your Pro plan ends, live Subscriptions move to the Free plan's Platform Fee while your Clients keep paying the same price.
5.6 Where a Package uses the "Built into the price" fee setting, the price your Client pays is raised using the Platform Fee and an estimate of Stripe's fee. Stripe's actual fee varies by card, so the amount you receive is an approximation and may differ from the price you set. FitFocus does not guarantee the net amount you receive.
5.7 Where GST or a similar tax applies to the Platform Fee, it is included in the Platform Fee unless we state otherwise.
5.8 We may change the Platform Fee by giving you at least 30 days' notice by email or in the app. Changes apply to Client Payments made after the change takes effect, subject to clause 5.5. If you do not agree to a change, you may stop using Client Billing before it takes effect.
06Packages, Prices and Payment Links
6.1 You are solely responsible for every Package you create, including its name, description, price, billing frequency, fee setting, and whether it accurately describes what your Client will receive.
6.2 Packages are priced in your Stripe Account's currency. Packages cannot be edited once created, because each one is a fixed price on your Stripe Account. To change a Package, create a new one and archive the old one. Archiving a Package does not cancel Subscriptions already running on it.
6.3 Client Billing does not provide discount codes, free trials, group or shared payment links, or automatic tax calculation.
6.4 Payment Links do not expire. You are responsible for sending each Payment Link to the right Client, and for any Client Payment made through a link you shared, including a link forwarded to someone else.
6.5 Before charging a Client for a recurring Package, you must make sure the Client understands and agrees to the price, the billing frequency, and how to cancel, as required by the Stripe Terms and the law that applies to you and your Client.
07You and Your Clients
7.1 You are the seller of record for everything you charge through Client Billing. Your Client's name for you, your business, and your Package appears on the payment email and on Stripe's checkout and receipts.
7.2 You are solely responsible for delivering what you charge for, for your own terms of sale and refund policy, for complying with consumer protection law that applies to your sales (including any rights your Clients have to a refund or remedy), and for resolving any complaint or dispute with a Client.
7.3 Client Payments do not change a Client's access to their plans or the QuickCoach client app. Whether a Client keeps access when they do not pay is your decision and your responsibility.
7.4 FitFocus will not mediate, adjudicate, or take sides in any dispute between you and a Client, and is not liable for any amount you or a Client claim is owed.
08Refunds, Cancellations, Disputes and Chargebacks
8.1 Refunds started in QuickCoach are for the whole Client Payment. Partial refunds must be made in your Stripe Dashboard. Every refund is paid from your Stripe balance. Neither the Platform Fee nor Stripe's processing fee is returned.
8.2 A refund does not cancel a Subscription unless you choose to cancel it at the same time.
8.3 Cancelling a Subscription in QuickCoach takes effect at the end of the period the Client has already paid for. The current period is not refunded automatically. To end a Subscription immediately, cancel it in your Stripe Dashboard.
8.4 Disputes and chargebacks are handled between you and Stripe in your Stripe Dashboard. You are solely responsible for responding to them, for any disputed amount that is reversed, for any dispute fee Stripe charges, and for any negative balance on your Stripe Account. Stripe may recover those amounts from your Stripe balance or your bank account under the Stripe Terms.
8.5 QuickCoach does not alert you to failed payments, refunds, or disputes. Failed payments appear on the Payments tab, and Stripe emails you about disputes. It is your responsibility to check them. What happens after a failed renewal (for example, retries or cancellation) follows the subscription settings in your Stripe Dashboard.
09Payouts and Your Stripe Balance
9.1 Stripe pays out your balance to your bank account on the payout schedule set in your Stripe Dashboard. Your first payout may take longer than later ones.
9.2 FitFocus does not control, and is not responsible for, payout timing, payout failures, reserves or holds placed by Stripe, currency conversion, or bank account errors.
10Taxes
10.1 You are solely responsible for determining, charging, collecting, reporting, and paying any taxes on your sales to Clients, including GST, VAT, sales tax, and income tax.
10.2 Client Billing does not add tax to your prices or calculate, collect, or remit tax on your behalf. If you need to charge tax, include it in your price. Any tax forms Stripe provides are available in your Stripe Dashboard, and FitFocus does not give tax advice.
11Compliance and Prohibited Use
11.1 You must use Client Billing only to charge Clients for genuine coaching and related services you provide, and in compliance with these Client Billing Terms, the Main Terms, the Stripe Terms (including Stripe's list of restricted and prohibited businesses), and all applicable laws, including consumer protection, anti-money laundering, sanctions, privacy, and tax laws.
11.2 You must not use Client Billing to:
- charge for goods or services you do not intend to provide, or that are illegal, misleading, or prohibited by Stripe;
- charge a person without their authorisation, or charge more or more often than they agreed;
- process payments on behalf of another business or person, or move money that is not payment for your own services;
- engage in fraud, money laundering, or any attempt to avoid the Platform Fee by misusing the fee settings; or
- interfere with, test, or attempt to bypass the security of QuickCoach or Stripe.
12Payment Records in QuickCoach
12.1 The payment, subscription, and refund records shown in QuickCoach are copied from Stripe for your convenience. They may be delayed, incomplete, or temporarily unavailable. Your Stripe Dashboard is the authoritative record of your Client Payments, payouts, and balances.
12.2 You are responsible for keeping your own business, accounting, and tax records. Do not rely on QuickCoach as your only record.
13Privacy and Payment Data
13.1 Clients enter their card details on Stripe's hosted checkout. FitFocus never sees or stores card numbers. Stripe handles card data under its own privacy policy and security standards.
13.2 FitFocus receives payment information from Stripe, such as amounts, dates, statuses, Package names, and Client names and email addresses, and handles it in accordance with the QuickCoach Privacy Policy.
13.3 You are responsible for telling your Clients, in your own privacy notice or terms, that you use QuickCoach and Stripe to bill them, and for meeting your own privacy obligations to them.
14Switching Off and Disconnecting
14.1 Switching off "Enable client billing" stops you charging Clients from QuickCoach. It does not cancel Subscriptions already running, which keep billing in Stripe, and your Stripe Account stays connected.
14.2 "Disconnect Stripe" unlinks your Stripe Account from QuickCoach. It does not close your Stripe Account, delete its data, or reverse payments already made. Subscriptions on a disconnected account keep billing in Stripe, but QuickCoach no longer shows them or charges the Platform Fee on them.
14.3 It is your responsibility to cancel any Subscriptions you want to stop before you switch off Client Billing, disconnect Stripe, change plans, or close your QuickCoach account.
15Suspension and Termination
15.1 We may suspend, restrict, or end your access to Client Billing, with or without notice, if you breach these Client Billing Terms, the Main Terms, or the Stripe Terms; if Stripe asks us to or stops supporting your account; if we reasonably suspect fraud, abuse, or unlawful activity; if required by law or a regulator; or if your QuickCoach account is suspended or closed.
15.2 If we end your access, we may disconnect your Stripe Account from QuickCoach. Clause 14 then applies to any running Subscriptions. Platform Fees on Client Payments made before the end of your access remain payable.
16Changes and Availability
16.1 We may change, add to, or remove features of Client Billing, or stop offering it, at any time. Where we stop offering Client Billing altogether, we will give you reasonable notice so you can make other arrangements with your Clients.
16.2 Client Billing depends on Stripe and other third-party services. We do not guarantee that Client Billing, Stripe, or Payment Links will be available, uninterrupted, or error-free.
16.3 We may update these Client Billing Terms from time to time. We will update the "Last updated" date above and, for material changes, notify you by email or in the app. Continuing to use Client Billing after a change takes effect means you accept the updated terms.
17Disclaimer of Warranties
To the maximum extent permitted by law, Client Billing is provided on an "as is" and "as available" basis. We make no representations or warranties, express or implied, that Client Billing will be suitable for your business, that any Client will pay, that payments will succeed or be paid out by a particular time, that fee estimates will be exact, or that the records shown in QuickCoach will be complete or accurate at all times.
Nothing in this clause excludes, restricts, or modifies any right, guarantee, or remedy that cannot be excluded, restricted, or modified under the Australian Consumer Law or any other applicable law (see clause 20).
18Limitation of Liability
18.1 You acknowledge that FitFocus provides software only, that Stripe processes all Client Payments, and that you opt in to Client Billing at your own risk. To the maximum extent permitted by law, FitFocus, its affiliates, directors, officers, employees, contractors, and agents are not liable to you or to any Client for any loss, damage, cost, or claim arising out of or in connection with:
- any Client Payment, or any payment that fails, is declined, is delayed, is duplicated, or is not made;
- refunds, cancellations, disputes, chargebacks, reversals, dispute fees, or negative balances;
- fraud or unauthorised use of a card, a Payment Link, or your Stripe Account;
- any act or omission of Stripe, including verification decisions, reserves, holds, payout timing, account pauses or closures, outages, and changes to Stripe's fees or terms;
- the pricing, description, or delivery of anything you sell, or any dispute between you and a Client;
- taxes, currency conversion, or the accuracy of fee estimates; or
- any unavailability, error, or delay in Client Billing or in the records shown in QuickCoach.
18.2 In no event will FitFocus be liable for any indirect, incidental, special, consequential, or punitive loss, or for any loss of profits, revenue, goodwill, opportunity, data, or anticipated savings, arising out of or in connection with Client Billing, even if advised of the possibility of such loss.
18.3 To the extent FitFocus is liable despite clauses 18.1 and 18.2, our total aggregate liability in connection with Client Billing (whether in contract, tort, statute, equity, or otherwise) is limited to the total Platform Fees we received from your Client Payments in the twelve (12) months immediately before the event giving rise to the claim.
19Indemnity
You agree to indemnify, defend, and hold harmless FitFocus, its affiliates, directors, officers, employees, and agents from and against any and all claims, demands, losses, damages, liabilities, fines, penalties, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- anything you sell or charge for through Client Billing, and any claim by a Client or third party about it;
- any dispute, chargeback, refund, or reversal of a Client Payment;
- your taxes, or your failure to comply with any law;
- your breach of these Client Billing Terms, the Main Terms, or the Stripe Terms; and
- any amount Stripe or a regulator seeks to recover from FitFocus as a result of your use of Client Billing.
20Australian Consumer Law
Nothing in these Client Billing Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Competition and Consumer Act 2010 (Cth) (including the Australian Consumer Law) or any other applicable law that cannot lawfully be excluded, restricted, or modified. Where we are permitted by law to limit the remedies available to you for breach of a non-excludable guarantee, our liability is limited, at our election, to supplying the relevant services again or paying the cost of having them supplied again.
21General
Assignment. You may not assign or transfer your rights or obligations under these Client Billing Terms without our prior written consent. We may assign or novate these Client Billing Terms at any time on notice.
Relationship. Nothing here creates any partnership, agency, joint venture, fiduciary, trust, or employment relationship between you and FitFocus, or between FitFocus and any Client. We act as an independent software provider.
Survival. Clauses 5.4, 8, 10, 12.2, 14, 17, 18, 19, 20, and 22 survive after you stop using Client Billing.
Severability. If any provision is held invalid or unenforceable, it is read down or severed to the minimum extent necessary, and the rest continues in force.
Waiver. A failure or delay in exercising a right is not a waiver of it.
Entire agreement. These Client Billing Terms, together with the Main Terms, are the entire agreement between you and FitFocus in relation to Client Billing. Your agreement with Stripe is separate and is not affected by these Client Billing Terms.
22Governing Law and Jurisdiction
These Client Billing Terms are governed by the laws of New South Wales, Australia. The parties submit to the exclusive jurisdiction of the courts of New South Wales and the courts of appeal from them. Any dispute is first addressed through the informal resolution and arbitration process set out in the Main Terms. Disputes about your Stripe Account are governed by the Stripe Terms.
23Contact
Questions about Client Billing in QuickCoach can be directed to us. Questions about your Stripe Account, payouts, verification, or disputes should go to Stripe support.
By switching on Client Billing, connecting a Stripe account, or charging a client through Client Billing, you acknowledge that you have read these Client Billing Terms, understood them, and agree to be bound by them, including that QuickCoach is a software platform only and that FitFocus accepts no liability for payments processed through Stripe.
